O’Melveny Advises Samsung Biologics on Strategic US Acquisition from GSK

SEOUL—December 23, 2025—O’Melveny advised Samsung Biologics on its definitive agreement to acquire 100% of Human Genome Sciences from GSK, marking Samsung Biologics’ first US-based manufacturing facility.

The transaction, valued at US$280 million, was announced on December 22. 

Located in Rockville, Maryland, the acquired facility features two cGMP manufacturing plants with a combined capacity of 60,000 liters, supporting both clinical and commercial drug production.

O’Melveny’s cross-border team advised Samsung Biologics on all aspects of the transaction, including corporate, M&A, life sciences, real estate, employment, tax, regulatory, environmental, antitrust, privacy, and IP matters. 

The deal was led by Seoul-based M&A partner Daniel Kim, counsel Hae-in Park, and associate Celia Kim. Partner Geoff Kuziemko advised on life sciences matters, while partner Peter Breckheimer, counsel Paige Minteer and associate Alyx Bogus guided on real estate matters.
