David concentrates in asset-based and cash-flow secured lending transactions where he represents banks, private equity firms, and other financial institutions in a wide-range of commercial finance structures.

He focuses his practice on commercial finance deals, including corporate lending transactions, leveraged acquisitions, specialty financings, and other debt investments.

He represents money-center banks and non-bank lenders in connection with senior secured and unsecured credit facilities, unitranche financings, first lien and second lien transactions, and mezzanine and subordinated financings. David has extensive experience in both cash flow and asset based lending transactions, and also has experience advising private equity firms and corporate borrowers in debt financings and general corporate matters. His practice focuses on the middle market, but covers a broad range of deal sizes, from bi-lateral domestic financings for middle market companies to broadly-syndicated credit facilities for publicly traded companies with extensive cross-border operations and financings in the investment grade space.

David’s representative clients include commercial and investment banks, asset managers, finance companies, private equity firms, and public and private corporations.

Activities

David is a member of the Secured Finance Network, and currently serves as Co-Chair of its Young Professionals Committee.

David is committed to serving pro bono clients and has structured and created a unique form of partnership agreement to be utilized by a non-profit that partners with various organizations to assist veterans and their family members. He has also represented a charter school in procuring a loan to finance its operations.

Credentials

David received a B.A., magna cum laude, in the Program of Liberal Studies from the University of Notre Dame in 2003 and a J.D. from William & Mary School of Law in 2006, where he was elected to the Order of the Coif.

Publications & Speaking Engagements

David participates as a speaker at firm sponsored events and industry panels on various lending and other corporate finance related topics, and recently presented at the Thomson Reuters LPC Loan Conference. He also frequently prepares and presents formal CLE programs and informal client trainings.

Any hobbies people are surprised to hear you have?

Yoga – I try to do yoga as much as possible.

Vacation spots you recommend?

Medellin, Colombia. It’s an amazing city with great food, culture and people.

Favorite dish to cook?

Unless Grubhub or Uber Eats counts as cooking, I can’t really pick a favorite as I don’t cook. I don’t really need a kitchen.

See any good concerts or entertainment events lately?

I saw the Cirque du Soleil show Volta while it was in Chicago. Was pretty entertaining and worth seeing.
